**PRICING MODEL** The pricing model for Tillex is open and straightforward and based upon the cost of providing the platform and the amount of value each customer gains from using it. We try very hard to make our pricing transparent and easy to discover, without the obscurity or multifarious options of many of our competitors.

There is no fixed term contract to sign up to, Tillex merchants are on a monthly rolling service agreement. All our merchants get the same product and features – there are: - *No ‘Add ons’ or ‘plugins’ so every customer benefits from exactly the same features.* - *No charges per administrative user – you can specify as many users as you like.* - *No charges per till or device.* - *No charges for larger catalogues.* - *No new ‘extra cost’ features.*

As a totally integrated face to face and online commerce platform, we have to balance the needs of a range of customers. Our pricing is based on two principles: **minimum fees**, which cover our costs of developing, extending, testing and supporting the platform and safeguarding your data whether your business is online, face to face or both; and **online transaction fees** which apply only to value generated though online transactions made via your Tillex Online Store. Online transaction fees offset your minimum fees, they are NOT added together, so as you initially grow your online channel, the price you pay for Tillex stays the same.

MINIMUM FEES Tillex is hosted on dedicated high performing servers with very high bandwidth Internet access using industry standard commercial server software to ensure the best possible performance. It is built, tested and supported by highly qualified and experienced people operating exclusively from UK offices. Minimum fees are calculated each calendar month, based upon total receipts processed by Tillex (online and EPOS) in that month. There are four tiers:

**ONLINE TRANSACTION FEES** Online transaction fees are payable on any order, initiated either by the customer or the merchant, where the customer pays online, usually, but not exclusively, using a credit or debit card. Tillex online transactions are currently handled through Stripe, and Tillex fees are automatically taken when the order is processed and before your money is paid out from Stripe. We charge a percentage fee based on the total value of each online sale. The percentage you pay is based on total receipts from online sales in the month to date, so as you sell more over the course of the month, the percentage you pay decreases in bands:

**EPOS Transaction Fees**\ Tillex does not charge for any physical transaction (cash, card terminal) initiated by the merchant through Tillex EPOS with the following exception: • Transactions paid by invoice, where the invoice is paid using Stripe online payment or Tillex invoice auto pay are subject to a fee of 1.5%. Invoice fees are counted as online transactions and reduce your minimum fees in the same way as online transaction fees.

**SMS Charges**\ Tillex charges for SMS notifications at the rate of £0.05 per message segment. A message segment is 160 characters. SMS notifications are sent under the following circumstances. - Order processing notifications as specified by merchant settings. (Cost depends on length of merchant message). - Sending one time pass codes where the customer has opted to receive the code by SMS (1 segment). - Sending a single notification to an offline customer where only a mobile phone number is available to instruct them how to sign up to the online store (1 segment). - Sending a receipt link to an offline customer where only a mobile phone number is available (1/2 segments depending on domain name length). *An offline customer is a customer that has been manually added by a merchant using the EPOS. They exist within the Tillex store but do not have a password and cannot sign in to the online store. When offline customers are created, an email/SMS is sent to them explaining how to sign up. Once an offline customer has signed up, they are no longer an offline customer.* SMS Charges are automatically added to the next transaction fee applied after they have been sent, which can include Stripe Terminal transactions, for users of that device. SMS Charges **do not** offset the minimum fee.

**Support** We do not currently charge for support and aim to respond to every support request within one business day – or within one business hour where ability to trade is significantly impacted. **Evaluation** We offer an evaluation period to new customers so that they can understand the product and develop their catalogue. During this period, no transaction fees, SMS charges or Minimum Fee apply. This evaluation period terminates when the customer completes the Tillex Activation process, either by pressing the ‘Go Live’ button in the Partner Centre or after 4 weeks, whichever is the sooner.

**Schedule** Minimum fees are payable on a calendar month basis and offset by online transaction fees paid in the same calendar month. Calendar months run from midnight UTC on the first day of the month to 23:59:59 UTC on the last day of the month. Transactions are recognized at successful completion, which in the case of online transactions is when the charge is captured by Stripe according to your payment mode settings.

**Renewal** Your Tillex subscription starts when you complete the Account Activation process and is automatically renewed every month thereafter. Minimum Fee are not payable for the month in which you complete the activation process.

**Cancellation** You may cancel your Tillex subscription at any time. To cancel, select the service agreement menu item in the Partner Center and click ‘Cancel my subscription’. Your subscription will be cancelled with immediate effect, and you will no longer be able to access either the EPOS or the Partner Centre. Your online store will display a closed message and customers will not be able to place online orders. Minimum Fees are payable for the full month in which you cancel. There is a charge of £499 to re-enable a cancelled subscription (either activated or evaluation).

**Stripe Fees** Stripe fee are payable to Stripe on all online transactions, including online invoice payment. The rate depends upon card type and your agreement with Stripe. Tillex invoicing uses Stripe, so Stripe fees are applicable to invoices paid online. Additional Stripe charges may be applicable for their invoicing packages (whether paid online or by other means), depending on the number of invoices you raise per month. **VAT** Smokin Donut Ltd is not currently registered for VAT. When we become VAT registered, VAT will be added to your monthly invoice.
